Important legal changes for civil law partnerships (GbR) will come into force on January 1, 2024. GbRs, also known as BGB companies, can register in a company register from the turn of the year. They will also have their own legal personality. There is no general obligation to register, but this offers advantages and is also possible for existing GbRs.<\/strong><\/p>\n

Registration even necessary in certain cases<\/strong><\/p>\n

GbRs are not generally obliged to register in the new company register. This applies regardless of whether they already exist or are yet to be founded. However, from the turn of the year 2024, there will be an obligation to register for companies that hold rights that are kept in other registers. This means that GbRs that own real estate or shares in a GmbH, for example, can only work with these assets if they are entered in the company register. An existing GbR can therefore only encumber or sell a property, for example, once it has been entered in the company register.<\/p>\n

New name affix for registered companies<\/strong><\/p>\n

Registration in the company register requires a notarized application. In future, registered BGB companies will bear the suffix \"eGbR\" or \"eingetragene Gesellschaft b\u00fcrgerlichen Rechts\".<\/p>\n

Subsequent registration possible<\/strong><\/p>\n

Existing and new companies should consider registering in the company register. The advantage of subsequent registration, if necessary, is that the register will be protected by good faith.<\/p>\n

Civil law partnerships are a widespread form of company in Germany. Family companies, for example, are often structured as GbRs. As such companies do not have their own legal personality until the end of this year, their participation in legal life is often complicated at present.<\/p>\n
